CONSTITUTION OF THE ROTORUA GUN DOG CLUB INC.
1. The name of the club shall be: the Rotorua Gun Dog Club Incorporated.
2. The objects of the club are:
A) To foster, encourage and promote the training, working and showing of gun dogs.
B) To promote, arrange and administer the running of trials, in accordance with the
NZ Gun Dog Trials Association rules.
C) To provide for the recreation of Members and promote social activities amongst them.
D) To aid in the conservation of wildlife at all times.
E) To pursue representation on organisations concerned with conservation, preservation and
protection of wildlife and its habitat.
F) To maintain affiliation with the NZ Gun Dog Trials Assn.
The rules of the Club shall not be altered, added to or rescinded except at a Special General Meeting or
at an AGM of the Club. Notice of any proposed alteration, addition or amendment to the Rules shall be
given in writing at least 14 clear days before the Meeting at which such are proposed to be altered, added
to or amended. Any ten (10) financial members can call a Special General Meeting, at which the quorum
shall be no less than 75% of the financial members.
4. Election of Members:
Membership shall be offered to any person, except those persons whose membership has been previously terminated by the Club, or who is currently under NZGTA suspension.
5. Life Membership:
The Annual General Meeting may, by resolution, (in recognition of services rendered to the Club)
elect Life Member(s) who have previously been approved by the Committee. Such Life Member(s)
shall be exempt from all subscriptions and shall, subject to the Rules, be entitled to all rights and
privileges of an ordinary Member. The resolution must be passed by Secret Ballot, with a majority of
80% of those who vote.
6. Termination of Membership:
Termination of membership shall be either by written resignation or default of payment of subscription
by 31st May following the Annual General Meeting.
If the conduct of a Member shall, in the opinion of the Committee of the Club, be injurious to the
character or interests of the Club, the Committee may at a Meeting determine that a Special General
Meeting of the Club be called, for the purpose of reviewing that person’s Membership, date, time and
venue in writing. Any Member who comes under suspension by the NZ Gun Dog Trials Assn, immediately ceases to be a Member of the Rotorua Gun Dog Club, until that suspension is lifted.
7. Election of Officers:
At the Annual General Meeting in each year, there shall be elected a Patron, a President, a Vice President,
a Secretary, a Treasurer and/or Secretary/Treasurer, and a Trials Secretary, all of whom hold Office
until the next following Annual General Meeting unless a Special General Meeting shall otherwise decide.
All Committee Members must be financial members of the Club. All office bearers must have been
financial members of the club for a minimum of twelve (12) months prior to the elections at the AGM.
The President shall hold Office for a maximum of two years and shall not be eligible to seek re-election
for a concurrent term of Office as President.
The governing body of the Club shall be the committee, which includes all the office bearers, but
not more than twelve (12) financial members of the Club, but no less than four (4), all of whom shall
be elected at the Annual General Meeting.
9. Casual Vacancies:
Any casual vacancies occurring amongst the officers or committee may be filled by the remaining
members of the committee, or by co-opting a member, providing that the person co-opted was a
financial member at the previous Annual General Meeting.
10. Duties and Powers of the Committee:
The committee shall conduct the general business of the Club as set out in these Rules and decide
any business not provided for, the committee may, with the consent of the member(s) concerned,
co-opt him or her in any work of the Club.
11. Meetings of the Committee:
The committee shall meet whenever necessary to conduct the business in hand. Meetings shall be
called by the secretary at the request of the chairman, or in his or her absence, the vice-president.
The committee shall call at least two (2) Meetings a year.
12. Removal From Committee:
Any committee member who misses three (3) consecutive meetings without an apology, is automatically removed from the committee. Such committee member must be advised of the situation by the president
of his possible expulsion from the committee.
At all Meetings, either committee or general meetings, all questions shall be decided by a majority
of votes, the chairman shall have a deliberate vote and a casting vote. All voting shall be by a show
of hands unless three (3) members present demand a secret ballot. Those privileged to vote at a
general meeting must have been financial members for the financial year prior to the AGM.
14. Annual General Meeting:
The Annual General Meeting shall be held in June each year and the financial year shall end on 30th
April each year, a report of the past year and an audited statement of accounts, expenditure and a
balance sheet showing the financial position of the club shall be presented by the treasurer or secretary/treasurer.
15. Special General Meeting:
The Committee shall call two (2) special general meetings a year, the business of which shall consist
of at the first meeting, the framing of the remits of the Annual Conference of Delegates to the NZGTA
and the second meeting the review of the remits coming before the conference, and instructions to the
delegate how to vote on all questions coming before the conference.
The Secretary shall, on receipt of a written request signed by ten (10) financial members, and stating the business, call within one month of the receipt of the request, a Special General Meeting.
Rule 3 also applies.
16. Notice of Meeting:
Fourteen (14) clear days’ notice of general meetings, including Annual General Meetings shall be given
to all members by notice in writing, addressed to their respective last place of abode or business. Such
notices of a Special General Meeting must state the business to be dealt with at the meeting.
50% of the elected committee shall make a quorum at a committee meeting.
All subscriptions and other monies to be paid to the Treasurer or Secretary/Treasurer, and shall be receipted.
Annual subscriptions amounts for members shall be set, only by a majority vote, at the Annual
The Committee shall conduct all Championship Trials under the rules of the NZGTA.
Local non-championship, or novelty trials shall be conducted as the committee
shall from time to time decide. Ribbon parades shall be run in accordance with the NZ Kennel Club Rules.
At all Trials, a Trials Captain or Trials Captains shall be appointed by the committee for the purpose
of conducting the trial. The Trials Captain of the day shall be responsible to the committee.
All persons taking dogs onto trial grounds must, upon request, produce proof of current registration,
hydatids dosing and current vaccination certificates.
21. Winding up of the Club:
Should the Members, by resolution at a Special General Meeting, unanimously agree that all the
activities of the Club be wound up, all assets shall be disposed of and any monies accrued shall be held
in trust by the NZGTA, for any future club based in Rotorua.
22. Common Seal:
The common seal shall be kept under the control of the committee, and in the custody of the Secretary.
It shall be affixed by the Secretary to such documents as the Committee shall direct.
